These Terms & Conditions (“Terms”) govern your access to and use of the website daralmadar.com and the supply of goods by DAR AL MADAR INTERNATIONAL CO W.L.L (“Dar Almadar”, “we”, “us”, or “our”). By using this website or placing an order with us you accept these Terms.
1. About Us and Our Business
We are DAR AL MADAR INTERNATIONAL CO W.L.L, a limited liability company registered in the Kingdom of Bahrain under commercial registration number 1-198215, issued by the Ministry of Industry and Commerce on 2 July 2026. Our registered office is at Flat/Shop 11, Building 1022D, Road 1220, Block 1012, Al Hamalah, Northern Governorate, Kingdom of Bahrain. Our licensed activity is the sale and trade of textiles.
We are a trading company. We source, import and sell woven and knitted fabric. We do not spin, weave, dye or finish cloth ourselves, and we do not manufacture garments.
2. Eligibility
This website and our supply terms are intended for businesses and for individuals purchasing in a commercial capacity. By placing an order you confirm that you are at least 18 years old and legally able to enter into a binding contract.
3. Use of the Website
You may use this website to learn about our range and to contact us. You may not use it to transmit unlawful, misleading or harmful content; attempt to gain unauthorised access to it; interfere with its operation; or extract its content systematically for a competing commercial purpose. We may suspend access where we reasonably believe these Terms are being breached.
4. Product Information Is Indicative
The fabric information on this website — compositions, weights, widths, finishes, minimum order quantities, origins and lead times — is published in good faith as a general guide to what we can supply. It is not an offer and not a specification. Actual availability, price, specification and lead time are confirmed only in a written quotation issued by us for your specific requirement.
Photographs and on-screen colours are illustrative. Screens render colour differently and no photograph reproduces the handle, drape or exact shade of a cloth. Where colour or handle matters, order a physical sample. We supply header cards and cutting samples for exactly this reason.
5. Quotations, Orders and Contract Formation
- A quotation is valid for the period stated on it. Where no period is stated it is valid for 14 days. Cotton and other commodity-priced fabrics may need re-quoting if the market moves.
- A contract is formed when we issue a written order confirmation, or when we accept your purchase order in writing — not when you submit an enquiry through this website.
- Minimum order quantities apply and vary by fabric and origin. They are stated on each collection page and confirmed in the quotation.
- On coloured goods we will issue a lab dip or sample for your written approval. Bulk production proceeds only against your approval, and the approved reference governs the order.
- Prices are quoted in Bahraini Dinars (BHD) unless stated otherwise, exclusive of Value Added Tax, which is added where applicable.
6. Tolerances
Textiles are a natural and industrial product and exact figures are not achievable. Unless your order says otherwise, the following commercial tolerances apply and goods within them conform to the contract:
- Quantity: ±5% on the ordered quantity, invoiced as delivered.
- Weight (GSM): ±5% of the nominal weight.
- Width: ±2% of the nominal width, measured usable.
- Shade: commercial match to the approved lab dip or swatch. Dye lots vary; where an order is supplied in more than one lot we will tell you.
- Shrinkage: as stated for the quality on the quotation.
7. Payment
Payment terms are stated on the quotation and order confirmation. Unless agreed otherwise, orders are payable in advance or against a deposit with the balance before despatch. Where credit terms are agreed in writing, invoices are payable within the stated period. Title in the goods does not pass to you until we have received payment in full, although risk passes on delivery.
8. Inspection on Receipt
Please inspect goods on delivery. Any shortage, transit damage, or apparent non-conformity must be notified to us in writing within seven (7) days of delivery, and before the fabric is cut, processed or dyed. Once cloth has been cut or processed it is treated as accepted. Latent defects not reasonably discoverable on inspection should be reported as soon as they are found.
9. Intellectual Property
The content of this website — text, layout, photographs, the Dar Almadar name and logo — is owned by us or used with permission, and may not be copied or reproduced for commercial purposes without our written consent. Where you supply us with a design, print or artwork, you confirm you have the right to do so and you retain ownership of it; we will use it only to fulfil your order.
10. Third Parties
We work with mills, forwarders, carriers and customs brokers. Where we arrange carriage or clearance we do so with reasonable care, but delays caused by shipping lines, port congestion, customs inspection or governmental action are outside our control. Links from this website to third-party sites are provided for convenience and imply no endorsement.
11. Limitation of Liability
Nothing in these Terms excludes liability that cannot lawfully be excluded. Subject to that:
- our total liability arising out of or in connection with an order is limited to the invoiced value of the goods giving rise to the claim;
- we are not liable for indirect or consequential loss, including loss of profit, loss of contracts, loss of production, or the cost of garments or products already manufactured from fabric you did not sample or inspect before processing;
- we are not liable for a failure to perform caused by an event beyond our reasonable control, including port closure, shipping disruption, governmental action, natural events or mill force majeure.
Our published guidance on fabric selection is offered in good faith. The decision that a given fabric suits your end use, and any testing needed to confirm it, remains yours.
12. Indemnity
You agree to indemnify us against claims, losses and reasonable costs arising from your breach of these Terms, from your unlawful use of the website, or from any third-party intellectual property claim relating to artwork or designs you supplied to us.
13. Governing Law and Jurisdiction
These Terms, and any contract for the supply of goods by us, are governed by the laws of the Kingdom of Bahrain, including the Commercial Companies Law promulgated by Legislative Decree No. 21 of 2001. The courts of the Kingdom of Bahrain have exclusive jurisdiction over any dispute. Where practical, we ask that you raise a concern with us directly first — most matters are resolved by a phone call and a photograph.
14. Changes to These Terms
We may amend these Terms. The version published here at the time your order is confirmed is the version that applies to that order.
